General conditions of sale and distribution under exclusive contract
In order to confirm our conditions of sale as well as the possibility of granting exclusive distribution rights by country, it is necessary to specify certain points for which GDC France cannot grant exclusive distribution if these were not respected. .
GDC France holds exclusivity on sales rights in all countries of the European Union as well as for Turkey, Israel, Ukraine, Moldova, Albania and Russia.
Purchasing procedure and allocation of exclusive rights to another company, country by country:

The buyer must be a company, registered and must present the documents of this Company.

The buyer must make a request mentioning the quantity of product, its destination as well as the sea port of unloading.

Once the offer has been accepted by GDC France, the buyer must pay the full amount of his CIF order. (Incoterm 2020)

Upon receipt of payment, GDC France will launch production and ensure that the order is delivered to the country of destination.

After two or three successful orders in order to get to know each other, GDC France may establish an exclusive distribution contract for the country (or countries) concerned. This contract will specify the minimum number of containers to be ordered per year/country to benefit from exclusivity (Agreement between GDC and the buyer). If the minimum order is not respected within the year, the exclusivity contract ends one month after receipt of notification of non-respect of the exclusivity clauses mentioned in the initial contract, in particular concerning the minimum order guaranteeing this exclusivity. .
Purchasing procedure for all other countries than those mentioned above:

The buyer must make a request mentioning the quantity of product, its destination as well as the seaport of unloading.

GDC France sends this request to the producer for approval,

Once the request has been validated by the producer, the procedure is the same as above except that GDC will establish a certificate of promise of exclusivity to allow the buyer to work.
The final exclusivity contract will only take effect approximately 10 days after acceptance by the producer. Indeed, this contract is subject to validation by the Scottish Government depending on the country defined.
Validation of orders by GDC France:

GDC France processes orders received for at least one 20' container with a capacity of 15600 bottles and only when payment for the entire order is received (date of enhancement on company bank account). All requests less than 1 container 20' dry will not be processed.
Price of the different products:
LOCH FYLL is distributed in different qualities related to maturation and ageing:

3 years old at (current rate) the bottle (see limits below)

5 years old at (current rate) the bottle (see limits below)
Other qualities up to 30 years old can be distributed on request. These CIF prices are applied for delivery of the container(s) from the North Sea to the Mediterranean border ISTANBUL. For all other destinations, please consult GDC who will quote the appropriate rate according to port of destination.
Prices are CIF Delivered (Incoterms 2020). It is up to the buyer to carry out the import formalities and to pay the customs duties and taxes according to the taxes in force in the country of destination.
The minimum order is 1 20' dry container containing 15600 bottles.
Packaging and stuffing of containers:
In order to optimize the filling of the containers, the stuffing of these is carried out as follows:

40 boxes of 12 bottles are placed by hand at the bottom of the container,

1 first row of 12 slip sheets of 60 boxes: 720 boxes of 12 bottles,
-
1 second row of 12 slip sheets of 45 boxes: 540 boxes of 12 bottles.
TOTAL: 1,300 boxes of 12 bottles, i.e. 15,600 bottles.
Capacity and alcohol titration per bottle:
The alcohol level and the capacity of the finished product per bottle is different depending on the country of importation. The CE standard provides for a capacity of 70 cl or 1 liter containing 40° of alcohol. Depending on the country of destination, GDC France has the possibility, on request, of adapting the containers and the alcohol content according to the standards in force in the country of destination. The prices would then be adapted to the specificities requested.
The producer will not modify the labeling of the bottles according to the country of destination. It is up to the importer to take all measures to guarantee the conformity of the labeling according to the country of destination. Neither the producer nor GDC France can be held responsible for any delay in importation related to non-compliance with the labeling in force in the country.
Alcohol available for sale:
GDC France only distributes “LOCH FYLL” brand whisky. It is therefore not possible to group several alcohols in a container.
Annual production capacities:
GLENNLAY guarantees GDC France a maximum annual capacity of 15 million bottles. GLENNLAY specifies that according to demand, he is able to increase this production. GDC France reserves the right to take action against GLENNLAY if it is not possible to produce and deliver an order already paid for by the customer.
Transport and insurance:
The goods are transported under customs to the country of importation. The incoterm is “CIF delivered” which implies that GLENNLAY insures the value of the goods as well as the transport value from the loading of the goods until their unloading at the airport or port of arrival. Transport being the responsibility of the producer, GDC France cannot be held responsible for delays related to the main mode of transport.
